Terms of Service

1. Acceptance of Terms

By accessing or using Coachful ("the Service"), operated by Influencee Agency OÜ, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

Coachful is a personal development and accountability platform designed to help users achieve their goals through structured daily practices, community support, and progress tracking.

2. User Accounts

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3. Subscription and Payment

Coachful offers subscription-based services. By subscribing, you agree to:

• Pay the applicable subscription fees as described at the time of purchase
• Automatic renewal of your subscription until you cancel
• Provide valid payment information and keep it up to date

All payments are processed securely through Stripe. We do not store your payment card details.

4. User Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Harass, abuse, or harm other users
• Post content that is offensive, defamatory, or violates others' rights
• Attempt to gain unauthorized access to the Service or its systems
• Use the Service to distribute spam or malicious content
• Impersonate any person or entity

If you sell products or services through the Service, you may not offer, promote, or accept payment for:

• Adult content or services
• Gambling, betting, or games of chance
• Supplements, pharmaceuticals, controlled substances, tobacco, or cannabis products
• Weapons, firearms, ammunition, or related accessories
• Financial, investment, tax, or legal advice, or credit repair and debt-relief services
• Medical diagnosis, psychotherapy, or clinical treatment services
• Multi-level marketing, pyramid schemes, or guaranteed-income or guaranteed-results offers
• Counterfeit goods, or any content you do not hold the rights to sell

We may suspend or terminate any account, and withhold or reverse any related payout, for a breach of this section.

5. SMS, WhatsApp & Messaging

Providing a phone number alone does not enroll you in SMS. If you separately check the SMS consent box, you agree to receive transactional text messages from Coachful on behalf of your coach or organization. These messages may include:

• Appointment and booking confirmations
• Session reminders, cancellations, and rescheduling updates
• Other service messages directly related to a booking you made

Message frequency varies. Message and data rates may apply. Consent is not a condition of purchase. Reply STOP to unsubscribe from SMS or HELP for help. After opting out, you may receive one final message confirming your request. Carriers are not liable for delayed or undelivered messages.

Transactional SMS consent does not authorize marketing or promotional texts. If Coachful or a coach ever offers marketing messages, those messages require separate express consent. You may still receive essential service communications through email or in-app notifications after opting out of SMS.

WhatsApp consent is separate from SMS consent. Where offered, WhatsApp communications are delivered through the WhatsApp Business API, may be stopped by contacting your coach or Coachful support, and are subject to WhatsApp's terms and privacy policy.

Coaches must use messaging features only for recipients who provided the required consent and must comply with applicable communications and privacy laws. SMS and WhatsApp must not be used for emergency, crisis, or sensitive clinical communications.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Coachful and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any content you create or upload to the Service, but grant us a license to use, display, and distribute such content in connection with the Service.

7. Disclaimers

Coachful is a personal development tool and is not a substitute for professional medical, psychological, or financial advice. The Service is provided "as is" without warranties of any kind.

Coachful may be used for private, non-clinical coaching and wellness workflows, but it is not an electronic health-record, medical-record, clinical diagnosis, psychotherapy-note, treatment-management, crisis-response, or emergency system. You must not store formal patient records, diagnoses, clinical assessments or treatment notes, medication or test records, medical billing records, or crisis and safeguarding records in the Service.

Special-category or confidential clinical information must not be submitted to AI, broadcast email, WhatsApp, advertising, public/community, or optional connected services. If you process limited special-category data for a non-clinical purpose, you are responsible for an Article 6 lawful basis, an applicable Article 9 condition, required notices, data minimization, and any professional or national-law duties.

Sensitive Data Mode is an optional organization-level control under Customize → Compliance. It is off by default; when explicitly enabled by the organization owner, it restricts AI access to client records while leaving general creation and business AI available. It does not make prohibited clinical use permissible.

Results may vary. While we provide tools and support for goal achievement, success depends on individual effort, circumstances, and consistency.

8. Limitation of Liability

To the maximum extent permitted by law, Coachful shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Service.

9. Termination

We reserve the right to terminate or suspend your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

10. Privacy & Data Processing

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data, the service providers we engage, your rights under the GDPR (including the right to access, export, and delete your data), and the safeguards used for international transfers outside the EU/EEA.

If you use Coachful to provide services to your own clients, you are the data controller for their personal data and Coachful is your data processor. Organization owners can review, accept, and download the Data Processing Agreement and customer information pack from Customize → Compliance. They are also available on request at support@coachful.co.

11. SMS Terms & Conditions

Coachful offers transactional text messaging: appointment confirmations, reminders, cancellation and rescheduling updates, event registration confirmations and reminders, and related account notifications sent on behalf of your coach or organization. You only receive these messages if you expressly opt in by providing your mobile number and checking the SMS consent box on a Coachful form. Consent is not a condition of any purchase.

• You can cancel the SMS service at any time by replying STOP. After you send STOP, we will send one final message to confirm that you have been unsubscribed and you will receive no further messages. To rejoin, reply START and we will resume sending SMS messages to you.
• If you experience issues with the messaging program, reply HELP for assistance, or contact us directly at support@coachful.co.
• Carriers are not liable for delayed or undelivered messages.
• Message frequency varies. As always, message and data rates may apply for any messages sent to you from us and to us from you. If you have questions about your text plan or data plan, contact your wireless provider.
• If you have any questions regarding privacy, please read our Privacy Policy, including its statement that mobile information is not shared with third parties or affiliates for marketing or promotional purposes.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes by email or through the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
