Coaching Agreement Intellectual Property Licensing Guide

Coaching agreement intellectual property licensing should distinguish ownership from permission. Identify the materials, the person who can license them, the intended users and the activities those users may perform. A useful clause makes agreed use possible without implying that buying coaching transfers every resource or technique.
This guide includes an original sample clause, a completed corporate schedule and a fictional rollout with a later learner-count change. The legal sources distinguish UK and U.S. principles. The example illustrates commercial decisions for appropriate legal review, not a universally enforceable contract.
Begin with the use, not a prohibition
A client may want to keep a personal worksheet, distribute thirty-two printed packs or train colleagues to facilitate workshops. Those are different requests. “Personal use only” may suit one and defeat the purpose of another.
Ask what the client needs to do: read, print, copy, teach, edit, translate, distribute or sell. Then identify the people, entity, format, period and location. A broad label such as internal use does not tell a subsidiary whether it is included or tell a trainer whether they may edit an exercise.
Separate copyright permission from the service. A licence can permit two facilitators to teach a pack without promising unlimited supervision, updated materials or support for every workshop. Conversely, buying an orientation does not necessarily grant distribution rights.
Keep client-specific material separate too. A coach’s permission to adapt their own worksheet does not establish permission to publish a client’s confidential example. Ownership, confidentiality and permission to use a contribution each need attention.
Verify the rights before offering a licence
The UK Intellectual Property Office’s ownership guidance distinguishes creators, employment and commissioned work. An employer will generally first own relevant work created in the course of employment, subject to contrary agreement. Paying an independent creator to produce material does not automatically transfer its copyright.
Establish the actual chain for each component. A coach might own the text but use illustrations under a limited licence. A trading company might need a transfer from its founder. A freelancer’s invoice is not a substitute for checking the agreed rights.
Do not write “the company owns all materials” merely because it supplied them. Record who created them and the employment, assignment or licensing basis that gives the proposed licensor authority. For a transfer, UK government guidance explains the need for a written, signed assignment. Moral rights need separate consideration rather than being assumed to transfer with copyright.
Under the U.S. Copyright Office’s protection guidance, copyright protects qualifying expression rather than facts, ideas, systems or methods themselves. A written facilitation pack may contain protected expression without giving its author exclusive copyright in every underlying leadership practice.
Those jurisdiction-specific explanations are not a complete international rights analysis. Identify the applicable law and have the actual arrangement reviewed where needed. Avoid using a U.S. remedies paragraph to promise a particular outcome for an English corporate licence.
Distinguish the decisions a clause must carry
Material: name files, versions and included components. “All coaching IP” obscures what the client actually receives and may accidentally include material the coach cannot sublicense.
People: name the licensee and distinguish facilitators from learners. Decide whether contractors, affiliates and replacements are included. A company-wide permission and a named cohort are different arrangements.
Activities: specify copying, distribution, teaching and adaptation separately. Permission to change two business examples need not include rebranding, public resale or translating the entire pack.
Time and ending: distinguish the period for new distribution from any permitted continuing reference. Also distinguish both from portal access. Removing a login does not erase a printed copy; retaining an account does not automatically extend contractual permission.
UK guidance on using another person’s copyright explains permission, acquisition and applicable exceptions as different routes. It also describes licences limited by purpose, time or place. Do not state that attribution alone grants permission, or that an educational label automatically permits every commercial workshop use.
Complete fictional case: internal facilitator cards
Nikhil Rao trades as Clear Practice Coaching. He owns the original text of his independent-practice facilitation cards. Aster Bridge Engineering Ltd, a fictional English company, wants two internal facilitators to teach the pack to thirty-two managers. Rhea, its authorized director, can sign this company’s licence.
The names, files, permissions, dates and amounts are invented. The commercial record below is not a customer result or a claim that these terms suit every business. It follows specified decisions through an initial rollout and a later change, with future expiry still unobserved.
Complete the component check
Nikhil identifies version 4: twenty-four English cards and an eight-page facilitator guide. He wrote the text independently, outside employment and without a previous assignment. Illustrator Uma created three drawings as an independent contractor. Nikhil checks her signed 17 September 2026 copyright assignment to him covering those drawings; the agreed illustration credit remains in the pack.
The pack contains no publisher assessment, third-party photograph or earlier licensed diagram. Those items are excluded rather than described as cleared by buying a coaching session. The assignment of illustration copyright is not described as a transfer of Uma’s moral rights.
Aster Bridge proposes two invented workplace scenarios. Rhea confirms the company’s authority to license those particular contributions after checking their employee authorship and relevant employment terms. Its written permission lets Nikhil include them only in Aster Bridge’s edition, not publish them in other clients’ materials.
The rights record therefore distinguishes Nikhil’s licensed pack, Uma’s assigned drawings and the company’s limited scenario permission. A copyright notice alone would not have established those different bases.
Fill the schedule before drafting the grant
| Field | Completed fictional decision |
|---|---|
| Licensor and licensee | Nikhil Rao trading as Clear Practice Coaching; Aster Bridge Engineering Ltd. |
| Materials | Facilitation Cards version 4, twenty-four English cards, and Facilitator Guide version 4, eight pages, including the identified Aster Bridge edition. |
| Rights and exclusions | Identified original text and assigned drawings; company scenarios only within its edition. No publisher assessments, third-party photographs or earlier diagrams. |
| Facilitators | Hana and Ben, two named company employees, excluded from the learner allowance. No automatic replacement-facilitator permission. |
| Learners | Up to thirty-two unique named company employees during the term, counted once each even if they attend repeatedly. |
| Permitted activities | Internal company workshops in the UK; print or distribute a personal reference pack to each licensed learner. No affiliate, external paid workshop, resale or sublicensing. |
| Edits and attribution | The two approved company scenarios only; other edits, translations and rebranding need a separate written decision. Retain the stated author and illustration credits. |
| Term and continuing copies | Facilitator preparation from 15 December 2026; learner teaching and new distribution from 1 January through 31 December 2027. Existing licensed learners may retain their issued copies for personal reference afterward. |
| Fee and service | £1,620 licence fee, with no VAT charged in this fictional arrangement; includes a ninety-minute facilitator orientation and one bounded example-review round described below. |
| Changes and ending owner | Rhea requests expanded use in writing to Nikhil before it happens. At term end, stop new teaching and distribution, reconcile retained copies and separately check platform grants. |
The schedule identifies a non-exclusive arrangement. Nikhil remains able to license his material elsewhere, subject to the separate restriction on the company’s scenarios. It does not grant anyone a professional credential or permission to use excluded assessment instruments.
An original sample clause for review
The following is an illustrative drafting example linked to the completed schedule. It is not a complete contract, and its interaction with payment, breach, termination, data protection and applicable law requires appropriate review.
Identified materials and permitted use. Nikhil Rao grants Aster Bridge Engineering Ltd a non-exclusive licence to use the version 4 Materials identified in the Schedule for the specified internal workshops. Hana and Ben may prepare from 15 December 2026. From 1 January to 31 December 2027, they may facilitate those workshops and the Company may issue one personal reference pack to each of up to thirty-two unique named employee learners.
Counting and changes. A learner counts when first issued a pack or admitted to a workshop using the Materials during the term, whichever occurs first. Repeated attendance does not count that learner again. Departure does not release a place for another person. The two named facilitators are separately authorized and excluded from this learner allowance. Additional learners or a replacement facilitator require a written variation accepted before the expanded use.
Adaptation and excluded uses. Permission includes only the two approved company scenarios identified in the Schedule. Retain the stated credits. Translation, rebranding, affiliate use, external teaching, resale and sublicensing are not granted by this licence. The excluded third-party materials are not supplied or licensed. A request for different use must identify the proposed users, entity, material, activity and distribution before permission is considered.
After the distribution term. Stop new workshops using the Materials and new distribution after 31 December 2027 unless a further agreement permits them. Learners already properly issued a pack may keep it for personal reference, without onward distribution or permission to teach from it. Portal access and any support end according to their separately stated arrangements; neither alters the permission described here.
The sample explains actual permitted activity as well as boundaries. It does not impose an invented penalty, waive every statutory exception or transfer ownership of client work. A real agreement should resolve early termination and existing-copy treatment alongside its other terms, rather than assuming this extract covers them.
Specify and complete the included service
The signed fictional agreement requires the initial fee to clear before material release. Both parties sign on 1 December 2026; Nikhil records the £1,620 receipt on 11 December. On 15 December he supplies the identified facilitator pack to Hana and Ben for the permitted preparation.
The included service is one ninety-minute orientation on 15 December and review of one revised business example of up to four hundred words. Rhea must email that draft to Nikhil by noon on 18 December, Europe/London. His one written review returns by 17:00 on 22 December in that timezone. It includes one clarification by email if Rhea sends it by 17:00 on 23 December; Nikhil replies by 17:00 on 24 December. No continuing workshop supervision is included.
Those service steps actually occur in the fictional record. The facilitators attend the orientation; Rhea sends a 286-word draft on 18 December. Nikhil returns the approved scope on 22 December. Rhea asks on 23 December whether the adapted question can name the shift-lead role, and Nikhil confirms that wording on 24 December.
The original card asks, “Who accepts this request?” The approved company edition asks, “Which shift lead accepts this change request?” Its scenario uses an invented handover, not identifiable employee history. The permission allows that specified edition; it is not blanket permission to rewrite every card or publish company examples elsewhere.
These are service quantities and a completed reply chain, not the coach’s full working time or a profit calculation. The example does not claim the orientation qualified the facilitators in mediation, therapy or a third-party instrument.
Count the rollout and the replacement request
The initial fee illustration is £1,200 for the first twenty unique learners plus £35 for each additional learner. Thirty-two learners are twelve above twenty: twelve times £35 is £420, giving £1,620. This is a fictional negotiated metric, not an asserted market rate.
Sixteen employees first receive the pack at the 17 February 2027 workshop and sixteen different employees at the 17 March workshop. The unique count is thirty-two. Hana and Ben remain separately authorized facilitators, not learners consuming two of those places.
Four of the thirty-two employees then leave. Rhea asks whether four new employees can reuse their places at a May workshop. Under this particular unique-learner definition, the answer is no: four new people would raise the term’s total to thirty-six, even though the current group could still contain thirty-two people.
Rhea requests an expansion before distributing to the newcomers. A written variation accepted on 20 April increases the allowance to thirty-six and adds £140. Nikhil records that payment on 22 April. Four new employees receive packs at the 18 May workshop; repeat attendees do not count again. The recorded unique learner total is now thirty-six.
The total fee is £1,760: £1,200 plus sixteen additional learners at £35. The original £1,620 plus the £140 variation gives the same result. No VAT is charged in this fictional record. Actual tax treatment needs its own check; these amounts are neither a tax rule nor a forecast of net profit.
A concurrent-user arrangement could make a different commercial choice, but it would need a different definition. Do not call the unique count unfairly calculated merely because active headcount stayed constant, or silently change the metric after the client has relied on it.
Handle a different use without selling rights you do not control
On 24 May, Rhea asks for an affiliate to use a translated pack at a public paid workshop. Her proposed cover also contains a photograph licensed only for Aster Bridge’s company website. She supplies that restriction with the request.
Nikhil separates the questions: affiliate permission, public teaching, translation, translator rights and the photograph’s distribution restriction. A larger learner payment would not by itself decide any of them.
On 26 May he declines permission for the proposed public affiliate pack under the existing arrangement. He cannot grant the photograph’s additional rights. He is willing to consider a separate internal translation proposal without that photograph, subject to a clear translator-rights arrangement and review of the actual edition.
Rhea acknowledges the decision on 27 May and keeps the proposed pack out of circulation. At the 28 May case cutoff, there is no signed translation or affiliate variation and no public workshop delivery. The original thirty-six-learner permission remains; willingness to discuss a new proposal is not a new licence.
Keep access separate from contractual permission
Coachful is our #1 recommendation for organizing cleared resources, agreement records and the preparation attached to a licensing service. This is our recommendation as Coachful’s publisher, based on that workflow, not legal certification or a claim that software prevents all downstream copying.

The course-builder image illustrates a structured facilitator reference resource. In the fictional example, Hana and Ben receive individual access to the facilitator guide through the authorized client-resource assignment route. Rhea’s contract record is separate. The thirty-six learners receive permitted printed packs without receiving portal accounts.
Use Clients > client > Worksheets & resources > Assign for deliberate resource access. Copying a private resource link alone does not grant access. Check the actual resource edition and recipient; an account count cannot establish how many people received a printed pack.
If an Offer is used, check its actual saved resource and session inclusions, quantities, selected session type and access terms. Starting from a template can prefill a session type from the coach’s own library; inspect the final saved choices. Descriptive benefits and licence wording alone do not grant resources or session credits.

The Agreements image illustrates the agreement area, including signed-PDF records. Preserve the actual executed licence and variations using the appropriate record process. If using native agreement templates instead, signed copies retain their signed wording; eligible unsigned, uncustomized copies can update when the versioning option is selected. A template edit is not acceptance of a variation by an earlier signer.
The company and Nikhil also agree facilitator portal reference access through 31 December 2027. Nikhil is responsible for ending the two independent assignments then and checking whether another grant retains access; this is a future administrative duty, not an automatic common-cutoff setting. At the future end of this example’s term, new teaching and distribution must stop unless extended. Separately review every actual resource grant and other access route. No completed expiry or account closure is claimed at the May cutoff. Continuing reference copies are permitted under the sample; portal revocation cannot recall them.
Test the permission against realistic requests
Before release, read the draft from the facilitator’s and company administrator’s perspectives. A clause that sounds comprehensive can still leave a routine decision unanswered. The following are interpretations of this fictional schedule, not universal copyright rules.
| Request | Decision under this schedule |
|---|---|
| An already counted learner attends a second workshop. | No new learner place is consumed. Record repeat attendance separately rather than invoicing the person twice. |
| A new colleague attends but does not download or receive a pack. | The definition counts first admission to a workshop using the material as well as first issue of a pack. Not downloading does not avoid the agreed count. |
| Ben leaves and another employee offers to facilitate. | The learner allowance does not authorize a replacement facilitator. Request that person’s inclusion before they teach; decide any preparation and service separately. |
| A manager wants a recording of the workshop for future induction. | The stated activities do not grant a new recording-and-distribution use. Check material permission, participant information and the actual recording arrangement before promising it. |
| A licensed learner wants to retain a reference copy after the distribution term. | The schedule permits that individual reference use. It does not permit using the copy to train a new group. |
A useful test can reveal a commercial choice rather than a drafting mistake. The company might genuinely prefer a fixed annual internal permission with no learner count. Nikhil could consider that alternative, but should price and describe its actual scope instead of quietly replacing the accepted unique-learner metric.
Exclusivity also needs a deliberate decision. A company asking to be the only licensee may restrict what the coach can offer elsewhere. Clarify whether the request concerns the whole background pack, a particular edition, a sector or a defined period. Do not offer exclusivity casually as a synonym for a customized cover.
The completed case remains narrower: non-exclusive internal use for the named entity, two facilitators and thirty-six unique learners after the accepted variation. The table tests hypothetical later requests; it does not report that a facilitator departed, a recording was made or another licence was issued.
Resolve ambiguous clauses before release
“The client owns all outputs.” Identify whether this means their own responses, a bespoke report, a resource copy or an actual assignment. Do not accidentally transfer background materials or claim ownership of the client’s contribution.
“Internal use forever.” Name the entity, users and allowed activities. If continuing reference is intended but future teaching is not, say both. Perpetual reference and perpetual workshop rights are different decisions.
“Edits allowed with permission.” Name the request route and what must be supplied. Do not imply silence is approval or commit to a review service with no actual deadline, scope or fee.
“Misuse incurs £10,000.” Do not invent an enforceable penalty. Preserve actual evidence, check the permission and obtain appropriate advice about any proposed remedy. Similar subject matter alone does not prove copying of protected expression.
“Access ends when the licence ends.” Reconcile the actual grants and permitted retained copies. Written terms do not automatically configure a portal, and a payment setting does not automatically change the user-count metric.
For related distinctions, read the copyright terms guide and payment and refund clauses. Compare the actual delivery arrangement with Coachful’s features.
Frequently asked questions
Does paying for a coaching pack transfer copyright?
Not automatically. A licence gives specified permission; a transfer changes ownership and may require particular formalities. Establish the actual rights and agreement under the applicable law. A receipt or downloaded copy is not a universal assignment.
Can a client share worksheets with colleagues?
Check the actual permission and any applicable exceptions. A corporate licence can deliberately permit distribution to a defined group, while a personal arrangement may not. Specify the recipients, activities and retained-copy rules rather than assuming all sharing is either allowed or prohibited.
Do replacement employees use new places?
It depends on the agreed metric. In the fictional unique-learner arrangement, a departed employee still counts within the term, so four newcomers raise thirty-two to thirty-six. A concurrent-user licence could work differently. Portal membership alone does not answer the contractual question.
Can I license material an illustrator made for me?
Verify your actual assignment or licence and its scope. Paying an independent illustrator does not by itself establish ownership of every relevant right. In the fictional case, a checked signed assignment covers the identified drawings, while the agreed credit remains.
Does a digital signature make every licence valid?
No technical record establishes every legal requirement. Check authority, identified materials, permission scope, applicable formalities and the actual accepted version. A signed template also does not automatically grant portal access or approve a later expansion.
