Coaching Agreement Severability Clauses and Waiver

Use the two clauses to ask different questions

Coaching agreement severability clauses address the intended effect on the rest of an agreement when a provision is unenforceable. A non-waiver clause addresses the intended effect of not exercising a right, allowing an exception or delaying action. Neither is a guarantee that a particular term, charge or later enforcement decision is valid.

The practical work is to review the actual agreement, distinguish an exception from a broader change and keep an accurate record of what the people did. A clause does not make an email disappear. A courteous exception does not itself settle the treatment of every later request. Both the wording and the surrounding facts need attention.

This guide explains the distinctions, gives original drafting questions and completes a fictional courtesy-and-refund case. Its legal example is a UK consumer context, with specific limitations. The messages illustrate service decisions and records; they are not a jurisdiction-specific contract to paste into a practice.

Understand severability without assuming the rest is safe

A severability provision can express an intention that unaffected obligations continue if another provision cannot be enforced. The practical question is whether the remaining arrangement can still operate under the applicable law. The result can depend on what the affected obligation does and how it connects to the service.

For a particular statutory example, section 67 of the UK Consumer Rights Act 2015 concerns a term that is not binding under that Part: the remainder continues so far as practicable. The current CMA37 guidance, updated in July 2026, explains that an unfair term is not enforceable against the consumer, the remainder stays effective if possible and the unfair term cannot simply be rewritten to make it fair. This is not a universal rule for every business contract or country.

Do not insert an excessive restriction in the hope that a severability paragraph will rescue it later. A review should examine the underlying obligation, not merely attach protective language. If a central service or payment provision cannot work, ask what arrangement remains and what decision is needed, rather than assuming that every favorable obligation survives independently.

Keep survival separate. A confidentiality or materials-use obligation intended to continue after the service ends raises questions about purpose, duration and scope. That is not the same question as the effect of an invalid provision. A heading labelled “severability and survival” does not resolve both.

Understand non-waiver without ignoring conduct

A non-waiver provision usually expresses an intention about an exception, delay or failure to enforce a right. The coach might intend one late change to apply to a named meeting only. The client might understand repeated accommodating messages as a different ongoing arrangement. A useful record makes the intended scope visible, while leaving the legal effect open to appropriate review.

Do not describe non-waiver as a power to disregard everything the practice has said or done. Nor should a coach assume that a single courtesy necessarily changes every future obligation. The relevant words, authority, pattern of conduct and applicable rules matter. If the parties disagree, preserve their actual accounts rather than rewriting the history to fit the newest template.

A variation is another distinct issue: the parties may be changing the service, schedule or other obligations. An exception record can identify one occasion, while a broader change needs its own scope and appropriate agreement process. Ask a qualified reviewer how those matters interact in the relevant transaction. Do not assume that a no-oral-changes sentence settles every later communication.

The CMA's current short guide to fair customer contracts emphasizes fair, transparent terms and warns about one-sided changes and disproportionate cancellation consequences. A contractual label does not establish a debt. Review the actual consequence before applying it.

Prepare two drafting briefs instead of copying boilerplate

These original briefs identify decisions for qualified review. They are not proposed operative legal clauses. Keeping that boundary avoids presenting a generally worded paragraph as a complete answer to a specific legal problem.

BriefQuestions the reviewer needs to answer
Remaining agreementWhich provisions depend on the affected obligation? Can the remaining service operate? What outcome is legally available? How should any necessary change or ending be handled?
Specific exception and future conductWho can approve the exception? What exact obligation, date and consequence does it change? What have both people already said or relied on? Is a wider service change needed?

Supply the actual service description, locations, contracting parties and purpose. Consumer and business transactions can require different analysis. The fact that someone is a director, has a company email address or pays from a particular account is not a complete classification exercise.

Also provide related sales statements, attachments and later messages. A legally reviewed template can still be used badly if the sales page promises a different service or the practice later describes an exception inaccurately. Ask what must be explained before purchase and how the explanation is retained.

For a cross-border arrangement, ask which mandatory protections, languages and dispute routes need attention. A chosen law or forum does not answer every question about the transaction. Our dispute and jurisdiction guide develops those separate review questions.

Work the case from the client's actual copy

Meri is a coach and Joel an individual buying personal coaching outside his trade or profession. Both are in England and Wales in this fictional case. They have an existing four-meeting arrangement: four forty-five-minute meetings for £600, prepaid before this bounded account begins. The original meeting dates are 8 March, 22 March, 5 April and 19 April 2043, each at 14:00 UTC.

The signed copy contains a forty-eight-hour change rule and general severability and non-waiver wording. Their enforceability is not determined by this example. Earlier contracting, payment collection and service setup sit outside the account and are not assumed to take no work. Both people accept the time allocations shown later before the counted activity.

On 7 March at 15:00 UTC, Joel uses ten minutes to read his saved copy and send a request to move the next day's meeting. His notice is twenty-three hours before the original start, not forty-eight. He asks whether 15 March at 14:00 is available. He does not need to disclose a private reason to obtain a response.

Meri uses fifteen minutes from 16:45 to 17:00 that day to read the request, inspect the signed copy, check the alternative slot and send this actual reply:

I can move the 8 March meeting to 15 March, 14:00–14:45 UTC, without an additional charge for this occasion. The original 8 March meeting will not take place. I intend this as a specific exception, not an announcement that every future late change is automatically accepted. Your applicable rights are unaffected. Please confirm whether that time works; if our usual schedule is becoming unsuitable, we can discuss the arrangement separately.

The reply expresses the decision and intended scope. It does not announce that a clause conclusively defeats any later claim. Meri is choosing the business response, not asserting a court's view of the contract.

On 8 March Joel uses five minutes to read and accept the offered slot. Meri uses ten minutes to read the acceptance, remove the original meeting from the manual calendar, book the agreed replacement and send its invitation. Joel uses five minutes on 9 March to read that invitation. These are manual scheduling actions in the example, not a claim about automatic credit restoration.

On 15 March Meri uses fifteen minutes preparing, then both attend the forty-five-minute meeting. Meri uses ten minutes afterward making private service notes. One of the four meetings has actually been delivered. There is no extra courtesy session beyond the original entitlement, and the other three have not yet taken place.

Treat the second request as new evidence

At 15:00 UTC on 21 March Joel uses ten minutes writing a second request about the 22 March meeting. Again the notice is twenty-three hours. His complete message is:

Could we move the 22 March meeting to 29 March? I understood from the previous change that moving a meeting late would be possible when needed. If the remaining dates are not workable, I would rather discuss ending the arrangement than keep trying to fit them in. I do not want an additional coaching call just to decide this.

The first reply stated Meri's intended occasion-specific scope. Joel nevertheless reports a broader understanding. The record now contains both facts. Meri does not replace his message with “client accepted all future penalties” or describe him as refusing to honor a debt that has not been established.

On 21 March Meri uses twenty minutes to read the correspondence and signed copy, check alternative availability, cancel the 22 March invitation while the position is clarified and send a substantive answer. She does not count the undelivered meeting as a forfeited unit or add a charge. Her actual proposal is:

I intended the earlier move to concern that meeting, and I hear that you understood the flexibility more broadly. I am not applying a forfeiture or additional fee while deciding this request. The 22 March invitation is canceled. I can offer the three remaining meetings on 29 March, 12 April and 26 April at 14:00 UTC, or return £450 for the three undelivered meetings and close the arrangement. No decision call is required. Please tell me which option, if either, you choose.

The £450 proposal is a business remedy Meri is willing to provide, based on the three undelivered units. It is not presented as the universal statutory refund calculation for every cancellation. Joel remains free to dispute the offer or seek advice. The alternative dates are proposed, not bookings he has already accepted.

On 22 March Joel spends ten minutes reading, considering the options and sending this full choice:

I do not want the replacement dates. I choose the £450 return and ending the remaining coaching. Please cancel the two later original meetings as well. I do not want a closing coaching call or further suggestions to book again. Please send the refund and administrative closure information in writing.

On 23 March Meri uses fifteen minutes to read the choice, cancel the 5 and 19 April invitations, confirm the £450 return and send Joel the administrative next steps. No proposed replacement date is booked. The communication confirms a refund decision, not completed bank receipt.

Complete the refund and keep its states separate

On 24 March Meri uses ten minutes to submit the £450 refund through the existing payment processor, record the action and send Joel the processing receipt. On 25 March Joel uses five minutes reading the 23 March confirmation and this processing receipt. At this point the receipt establishes the submitted action; the case does not call it proof that money has reached his bank.

On 28 March Joel uses five minutes checking his bank and sees the £450 credit. He sends no acknowledgment. Meri does not learn that bank observation through an invented reply. On 29 March she uses fifteen minutes: five checking the processor's completed status and ten preparing and sending the final administrative closure:

The three undelivered meetings are canceled and the coaching arrangement is closed. The £450 refund submitted on 24 March now shows completed at the processor; please check your own payment account if anything is unclear. The 15 March meeting remains the one delivered meeting. I have retained the original signed copy and this correspondence. No new terms have been substituted, and I will not send further coaching or return-booking prompts.

Joel uses five minutes on 30 March reading the closure without replying. The narrator's record includes his actual earlier bank check; Meri's message accurately states only what she checked. This distinction avoids manufacturing receipt evidence or receiving work.

StateActual case evidenceLimit
Original purchase£600 paid before this bounded caseEarlier collection administration is outside this account
Service deliveredOne forty-five-minute meeting on 15 MarchNot four completed meetings
Refund decided£450 confirmed on 23 MarchNot bank receipt
Refund submitted24 March processor action and receiptNot itself proof of the client's bank credit
Money receivedJoel's 28 March bank checkNo invented acknowledgment to Meri

The gross purchase less the return is £600 minus £450, or £150 retained before processor fees, other costs or tax. It is not profit or a measure of the economic cost of the courtesy. Those financial items have not been established here. Neither the refund nor the specific exception resolves a court question about the original wording.

Keep a usable exception and review record

On 31 March Meri uses twenty minutes to review the history and prepare a brief for future qualified advice. She does not send it in this case or claim that legal review has occurred. She holds future template changes and keeps Joel's signed copy unchanged. The completed original brief is:

FieldCase entry for review
Parties and purposeMeri's coaching business and Joel's personal purchase; both in England and Wales
Actual textJoel's saved signed copy, including the change rule and both general provisions
First occasion7 March late request; specific exception; replacement accepted and delivered 15 March
Later understandingJoel's 21 March message reports broader flexibility; original correspondence retained
Business responseNo forfeiture applied; alternative dates declined; £450 return chosen and completed
Unresolved legal questionFairness and effect of the wording and conduct, without assuming severability or non-waiver settles either
Future draftingClearer exception and variation process held for appropriate review, not applied retrospectively

A real adviser needs the complete relevant record and a clear question, not a rewritten account that conceals accommodating conduct. Ask what provisions need changing and how current clients should be treated. Do not announce a universally enforceable new rule before that work is complete.

If there is a disputed balance, refund entitlement or complaint, handle it on its own facts. The payment and refund terms guide explains the surrounding distinctions. A severability heading cannot establish a balance, and a non-waiver heading does not close a complaint route.

Test the explanation, not only the legal vocabulary

Before issuing future wording, plan a reading check that matches its purpose. Ask an appropriate reader to locate the service, change deadline, consequence, exception contact and complaint route without coaching them toward a preferred answer. Ask them to explain what happens after one accepted exception. A confident yes to “is this clear?” supplies less information than their own account of the arrangement.

Give that reader a defined contribution and reserve time to receive and consider their answer. A reading check is not legal approval, and a lawyer's review is not proof that the intended client can find the information. Keep the two tasks distinct. If a reader's interpretation differs, preserve it and examine the explanation rather than marking the reader wrong.

This is a proposed future verification step, not another completed event in Meri's case. No extra reader, meeting or successful result is added to its work account. Any actual test would need its own receiving agreement, time and record.

The account totals 275 person-minutes against 335 accepted, leaving 60 within this defined scope. The delivered meeting contributes ninety person-minutes across both people, already included above. The later original meetings are canceled, not completed, and no unaccepted replacement dates or decision call enter the total. Prior purchase administration, general business work and future legal advice are outside this account.

Keep three digital records distinguishable

Coachful is our #1 recommendation for organizing agreement records and their related follow-through. That is an editorial judgment about the workflow, not a legal-validity guarantee or a claim that software decides waiver. The Coachful feature overview provides broader context.

Keep the reusable template, the client's issued copy and later correspondence distinguishable. The released agreement workflow preserves signed text. Eligible pending unsigned copies can refresh when a new template version is saved, with that option on by default; customized copies have protections. Inspect the affected copies and choices rather than describing a template edit as changing what an earlier client signed.

The case keeps the original signed copy and separate exception and closure messages. It does not claim a template update, re-sign request, native credit restoration or a tested customer account. The demonstration agreement and worksheet screens illustrate organizational tools, not Joel's records.

After qualified review, decide what future wording and actual client communications are needed. If the work requires a new agreement or amendment, use the appropriate process and verify the recipient's own copy. An electronic signature is evidence about signing; it does not make an unfair term fair.

Frequently asked questions

Does severability protect every remaining obligation?

No universal guarantee follows from the heading. Applicable law, the affected provision and whether the remainder can operate matter. Review the underlying terms rather than relying on a rescue paragraph.

Does one courtesy always change future rights?

Do not assume either a permanent change or no effect at all. Keep the particular decision, both people's communications and later conduct available for appropriate review. State intended scope without presenting it as a conclusive legal result.

Can I simply rewrite the signed agreement?

Preserve what was signed. A future template, eligible unsigned-copy refresh and a later agreed change are different records. Do not replace history with wording the practice now prefers.

Is a refund confirmation proof of receipt?

No. A decision, submission and bank receipt are different states. In the case Joel checks his bank separately, and no extra acknowledgment is invented. Use evidence appropriate to the claim.

When is the review finished?

Define the scope. Here the courtesy, delivered meeting, chosen return and closure are complete. Legal enforceability and future drafting remain unreviewed and held. A complete administrative ending does not pretend to be a legal judgment.
