Coaching Agreement Terms and Conditions: Seven Key Sections

Coaching agreement terms and conditions explain what you will provide, what the client is buying and how both parties handle money, information, changes and an ending. They are most useful when a client can understand an ordinary situation without needing you to interpret the small print.

Build the agreement around your actual offer. Then obtain appropriate review for the jurisdictions, client types and delivery methods involved. The seven sections below retain the core operational decisions, with original drafting examples and a complete fictional service schedule. They do not establish that one template is suitable everywhere.

Start with the parties and a clear service schedule

Name the provider, the coaching client and any sponsor that pays or commissions the work. Identify the people authorized to agree a change. An employer paying an invoice does not automatically become the recipient of every coaching note.

Use a short schedule for the package particulars and supporting terms for the recurring rules. Include dates, session count and length, delivery method, total price, payment schedule and contact routes. Make the schedule consistent with the sales page and the conversation that led to purchase.

The current ICF Code of Ethics asks ICF professionals to agree roles, responsibilities, confidentiality and financial arrangements before coaching begins. That professional standard is a useful starting point; it is not a substitute for applicable contract, consumer or privacy law.

Build your platform

1. Describe the service and professional scope

Explain what happens in the coaching: for example, preparation, reflective conversation, practical planning and a review of chosen actions. Name any additional consulting, assessment or teaching service separately so clients know which role is being offered.

Illustrative wording: “The service supports the client to clarify priorities, consider options and review actions in the agreed area. It includes the sessions and support described in the schedule. Any additional service or material change in scope will be discussed and confirmed before it begins.”

State the relevant limits in ordinary language. General career coaching does not authorize treatment, investment recommendations or individual legal advice. At the same time, therapy is not defined simply as discussing the past, and coaching is not defined by avoiding feelings. The activity, competence and professional authority matter.

Explain how you respond when another kind of support is needed. The scope of practice guide develops an appropriate boundary statement and referral conversation.

2. Give both parties meaningful responsibilities

A client can be responsible for their decisions, participation and communication. The coach remains responsible for delivering the agreed service competently within their role. “Results are entirely your responsibility” is a poor substitute for explaining both contributions.

Illustrative wording: “The client chooses which actions to take and may question or decline an exercise. The coach will provide the agreed service, explain relevant limitations and discuss concerns about fit or delivery. Both parties will communicate changes that affect the work.”

Describe what preparation is expected and how to raise an accessibility need. If a worksheet is optional, do not later treat its noncompletion as an undisclosed condition of receiving the session.

Separate aspirations from deliverables. A client might want a promotion; you might promise six planning sessions and feedback on two practice presentations. You can be accountable for supplying the latter without promising an employer’s decision. A no-guarantee statement should not contradict claims elsewhere in the offer.

3. Show the full payment commitment

State the price, currency, tax treatment, due dates and payment method. Explain whether recurring payments buy successive service periods or divide a fixed package total into installments. Show the total cost alongside the individual payment.

Illustrative wording: “The package price and payment dates are shown in the schedule. A payment plan divides that stated total; it does not change the service allocation or the agreed ending terms. Any additional paid work requires a separate agreement.”

Set an understandable process for overdue payments: a reminder, an opportunity to correct an error and any permitted suspension after notice. Determine the lawful terms before adding interest, collection costs or a right to accelerate every future payment.

Consent to coaching and permission to collect money are distinct. A signature on the service agreement is not proof that a particular payment was authorized, captured or refunded. Keep the financial records that establish those events.

4. Connect cancellation, package dates and termination

Cover appointment changes and ending the engagement separately. State the notice route, timing, effect on credits, emergency process and what happens when the coach cannot deliver. Identify the package period and how pauses or availability problems are resolved.

Illustrative wording: “Either party may ask to end the coaching relationship through the contact route shown in the schedule. We will confirm the effective date, remaining services and financial settlement under the agreement and applicable rights. Appointment changes follow the separate booking policy.”

Give the client a route to question a settlement. In UK consumer contracts, the CMA’s July 2026 guidance emphasizes fair, transparent terms and warns about disproportionate cancellation charges. A signed term can still be unfair.

Check any applicable statutory withdrawal period separately. A voluntary package exit policy, an appointment notice deadline and a consumer cooling-off right can operate for different reasons. Label them clearly rather than calling all three “cancellation.”

5. Explain confidentiality and information handling

Define the protected information, authorized audiences and relevant limits. Cover spoken conversations, written messages, worksheets, recordings and administrative records as applicable. Tell the client who supports delivery and how the service uses technology.

Illustrative wording: “We will handle information from the engagement according to the agreed confidentiality arrangements and privacy information. The schedule identifies any sponsor reporting. Disclosures outside that arrangement require an appropriate basis, including any applicable legal requirement.”

For employer-sponsored work, list actual report fields, recipients, timing and a review process. “High-level progress” can mean very different things to HR and the client. A named report such as dates attended and agreed project milestones is easier to understand.

Use separate, specific choices for optional recordings, testimonials or publishing a client story. Do not bury every possible future use inside one required consent. The confidentiality agreement guide includes a developed sponsor-reporting example.

6. Describe materials and permitted use accurately

Identify what materials you own, what belongs to the client and what is licensed from another owner. Do not claim exclusive ownership of every framework you mention or every answer a client writes.

Illustrative wording: “The client may use the coach-authored materials supplied with this service for the purposes described in the schedule. Redistribution or resale requires permission where the provider holds the relevant rights. Third-party resources remain subject to their owners’ terms. The client retains their rights in their own contributed material.”

Decide what happens after the engagement. Can the client keep downloaded worksheets, access purchased resources or use a plan they created? Explain those practical permissions without making the person guess what “nontransferable license” means.

If you use a formal assessment or training curriculum, check the actual license. A contract with your client cannot grant rights that the original owner has not granted you. Distinguish permission to complete an instrument from permission to reproduce its questions or scoring guidance.

7. Offer a usable complaint and dispute process

Start with a contact route and the information needed to investigate a concern. Give a realistic response commitment, an escalation route and any applicable independent process. The person should know whom to contact if the concern is about the coach directly.

Illustrative wording: “Please raise a service concern through the stated contact route. We will acknowledge it and explain the review process. We may agree an appropriate independent resolution route where suitable. Nothing in this process removes rights that applicable law protects.”

Obtain specific legal advice before using mandatory arbitration, expensive mediation, foreign courts or automatic legal-cost recovery. Those provisions affect access to remedies; they are not harmless defaults that belong in every coaching contract.

A governing-law clause also does not answer every cross-border consumer question. Identify the actual contracting parties and markets before choosing the law and forum. The shortest sensible process is often clearer than several pages copied from an unrelated corporate agreement.

A complete fictional package schedule

This schedule illustrates how a service can be made understandable. It is an operational brief to combine with locally reviewed terms, not a finished legal agreement.

FieldExample particulars
PartiesNamed independent provider and named individual client; no employer sponsor.
PurposePrepare for a career decision and practice relevant conversations.
DeliverySix 60-minute online sessions during a mutually confirmed 12-week service period.
Between-session supportOne short preparation question before each session; responses reviewed during that session, not emergency messaging.
Price£1,200 total under the stated tax treatment, paid in three installments of £400 on listed dates.
AllocationSix equally allocated sessions at £200 each; no separately priced resources.
Changes and endingPublished appointment policy plus a written ending settlement; no automatic renewal.
InformationShared preparation and agreed actions; no optional recording unless separately agreed.
MaterialsClient may keep supplied personal-use worksheets and their own completed plans.
Questions and concernsNamed contact address and an identified review process.

The arithmetic is transparent: three £400 payments total £1,200; six £200 allocations also total £1,200. The 12-week period is a delivery choice, not a promise that every career decision will be resolved within that time.

Client: Does the £400 monthly payment mean I can stop after buying one month?

Coach: It is an installment toward the fixed package. Let’s review the ending terms together so you can see what would happen to delivered sessions, prepaid money and future payments before deciding.

Client: What if I need a pause?

Coach: We would discuss suitable dates and confirm any change in writing. I would not assume the original timeline still works.

Review the agreement before issuing it

Walk through four situations: the client changes their mind before starting, a session is missed, the coach becomes unavailable and either party wants to end after partial delivery. Can you determine the next step and financial treatment from the text?

Then compare the agreement with the sales page, checkout, booking confirmation and privacy notice. Resolve contradictory prices or promises before asking for consent. Invite questions and allow time to read. A friendly verbal explanation should support the written terms rather than quietly replace them.

For a renewal, confirm the new scope, price, dates and any changed terms before the additional commitment begins. Preserve the earlier agreement and obtain the appropriate new assent; do not overwrite what the client originally accepted.

Prepare and preserve the agreement in Coachful

Use Agreements > Templates to prepare the reviewed text. Save a draft while details are unresolved. When ready, review the agreement, choose the intended coach-signature setting and activate it through the available signing or activation controls. Select the correct active template when issuing a copy to the intended recipient.

The native signing process records the agreement content and the recipient’s signing details. Keep the signed copy accessible to the signer. Template versions help distinguish later wording from the copy already issued; changing a template does not rewrite an existing signed agreement.

If the agreement must precede a particular booking or checkout path, configure the relevant funnel agreement step and check that exact path. Sending a standalone agreement is its own action. Explore Coachful’s features to organize agreements alongside the service record.

Frequently asked questions

Can an electronic signature be legally effective?

Yes. US ESIGN prevents denial solely because a covered record or signature is electronic, while preserving other obligations. EU eIDAS distinguishes electronic signatures from qualified electronic signatures, which have explicit handwritten-signature equivalence. Document type, consent, authority and other requirements still matter.

Does a disclaimer prevent all claims?

No. The actual service, representations, law and conduct matter. A clause cannot replace competent delivery or remove rights that cannot lawfully be excluded.

Should a client sign before starting?

Settle the terms and obtain the appropriate agreement before the paid work begins. If a client has a concern, understand it and resolve the relevant wording or suitability issue before proceeding.
