Coaching Contract Clauses Template: Seven Areas

A coaching contract clauses template is useful when it makes the service understandable before anyone commits: what the coach will deliver, what the client pays, what changes are possible and what happens when the work ends. A collection of protective phrases cannot answer those questions if the clauses contradict the actual offer.

This guide develops seven connected areas, then completes an original fictional service schedule and selected operating clauses. It tests the draft with a prospective client and several difficult scenarios. The result is a concrete brief for qualified legal review, not a complete agreement ready for every coach to sign.

Coachful is our #1 recommendation for managing the coaching workflow around that reviewed agreement. Offers, agreement drafts, issued copies and client documents help connect promises with delivery. Software records still need accurate wording, appropriate legal advice and someone responsible for carrying out the promised response.

Start with the relationship and the applicable rules

A personal consumer buying individual coaching, an employer buying a team programme and a business hiring a consultant can need different terms. Identify the actual provider, buyer, participant, payer and locations. A signature from a participant does not necessarily establish the employer's payment obligation or authority to receive information.

For UK trader-to-consumer terms, the CMA's current fair-contract guidance requires fairness and transparency. Its assessment considers the circumstances and how related terms interact. Hidden conditions, disproportionate cancellation charges and wording that undermines customer rights need particular attention. Clear presentation helps people understand an arrangement; it does not make an unfair term fair.

That legal scope matters. A reusable business template cannot settle every consumer, cross-border, tax, privacy or professional issue. Ask a qualified adviser to review your actual service and selling process. Bring them the advertisement, payment choices, support promise and exit scenarios as well as the document. An excellent legal paragraph can still conflict with a checkout offering something different.

The ICF Code of Ethics provides a separate professional reference for ICF professionals: establish the engagement's roles, responsibilities, confidentiality and financial arrangements before coaching, and respect termination subject to the agreement. An ethical code is not a substitute for applicable law.

Seven clause areas and what each must accomplish

1. Service, role and delivery commitments

Define the work in terms a buyer can recognize. Include the number and duration of sessions, individual or group format, who delivers them, the service period, support and named resources. “Full access” means little without an audience, channel, time boundary and description of the actual help.

State the professional role accurately. Coaching conversations, teaching, business consulting and clinical treatment have different purposes and responsibilities. Do not rely on a generic disclaimer while actually delivering a different service. The life-coaching disclaimer guide explains how public descriptions should match practice.

Separate delivery from external outcomes. A coach can promise five specified sessions and a response process. Another person's decision, a promotion or a relationship outcome is not the same kind of commitment. Equally, avoiding an outcome guarantee does not excuse missing sessions or failing to provide the support sold.

2. Total price, payment authority and future charges

Name the currency, full price, applicable tax treatment, payment dates and whether the arrangement ends or renews. A fixed price paid in installments is different from a subscription that buys another period of service. Show the complete obligation before asking for payment.

Read the price beside the ending clause. If coaching can stop after two sessions, does a later installment still fall due? Does a refund alter that balance? Who reconciles it? An administrative label such as “cancelled” cannot answer all three questions.

A clause should also distinguish authorization from collection. A client accepting a proposal has not necessarily paid, and a failed charge is not settled money. Use actual payment records when confirming the financial state. Keep financial promises consistent across the agreement, sales conversation and checkout.

3. Scheduling, notice and provider absence

Specify the booking route, time zone and notice calculation. Twenty-four elapsed hours before a session is a precise interval. “One working day” can produce a different deadline. Explain how the client asks for a change and who confirms the replacement.

Cover the coach's absence as carefully as the client's. If the provider cancels the last appointment near the service end, the client needs a usable remedy. A date limit should not silently erase the provider's outstanding commitment. Address lateness and technical failure without making every difficult circumstance a client breach.

Decide separately what happens to the appointment, session allowance and money. Releasing a calendar slot does not necessarily restore a credit or process a refund. Include a human check when the software's booking policy differs from a more generous commercial promise.

4. Materials, ownership and continuing use

Identify the materials and the permission being granted. Personal reference, sharing with colleagues, facilitating a workshop and selling an adapted workbook are different uses. Explain whether downloaded copies may be retained after portal access ends.

The UK Intellectual Property Office's ownership guidance explains why creation, employment and commissioning circumstances matter. Paying someone to make a resource does not automatically establish every ownership right. Check the actual rights chain before licensing materials to clients.

Do not claim ownership of the client's original writing simply because it appears in your platform. Keep permission for publicity or testimonials separate from routine service access. The agreement should describe a real permission, not a sweeping ownership claim over everything discussed.

5. Information, confidentiality and technology

State what information is created, who is authorized to see it and what is shared. A personal client may expect no employer reporting. A sponsored engagement needs an explicit reporting arrangement, rather than an assumption that the payer receives notes.

Address applicable confidentiality limits and handling duties with appropriate advice. Explain relevant legal or safety disclosure circumstances instead of promising absolute secrecy. Link the service terms to a coherent privacy notice and actual record-handling process. One broad “consent” sentence does not resolve every data-processing question.

Consider recordings, transcripts, AI tools, assistants and supervision where used. Explain the real purpose, audience and choices before use. If the service has no recording, do not quietly introduce it under a clause permitting any future technology. Review the change and its consequences first.

6. Ending, balances and unfinished delivery

Describe how either party gives notice and what happens next. Ending conversations, cancelling appointments, stopping a recurring charge, restoring unused allowance, processing a refund and removing access are distinct actions. The responsible person should be able to reconcile each one.

Distinguish your commercial policy from statutory cancellation rights. For service contracts within the UK distance or off-premises cancellation regime, regulation 30 ordinarily calculates the period as fourteen days after the contract date, subject to the rules' qualifications. It is not the goods-delivery calculation.

Regulation 36 addresses early service supply, an express request and conditions affecting payment and loss of the cancellation right after full performance. Do not turn a general signature into an assumed early-start request. Get the actual information, cancellation process and any digital-content issues reviewed. The fictional refund promise below does not replace that work.

7. Concerns, changes and dispute provisions

Give a usable contact, acknowledgment window and route for discussing an unresolved concern. State who can agree a change. A coach's internal note or a client's unanswered request is not a mutually accepted amendment.

Changes need to travel through the whole service. If a support allowance changes, update the relevant reviewed terms, sales copy, configuration and client communication. Preserve the record of what each person actually received and accepted. Check the copy status: signed text stays unchanged, while eligible pending copies can move to a new version under the unsigned-copy update option.

Have governing law, venue, liability and dispute clauses reviewed for the specific relationship. Avoid copying impressive phrases such as “binding mediation” without understanding the process. The aim is a fair, workable route for concerns, with applicable rights preserved, rather than a document claiming that complaints or liability cannot arise.

Complete a fictional service schedule before drafting

Everything in this example is fictional. Keira Moss is preparing personal coaching for Robin Vale, an adult buying for personal purposes. The proposed service explores choices around a return to creative study. It is not employer-sponsored, clinical treatment or an educational admissions service.

Keira is testing a prospective package before legal release. Robin is reviewing its clarity, not signing or paying. The selected clauses below are original drafting illustrations. Provider identity and address, required consumer information, cancellation documentation, privacy handling and legal provisions still require professional review before issue.

ItemCompleted proposed service choice
DeliveryFive individual fifty-minute remote sessions with Keira, within 6 September to 31 October 2027.
Proposed appointments6 and 20 September; 4, 18 and 25 October, each 15:00–15:50, Europe/London. Availability has been checked for this fictional proposal.
PriceGBP 1,000 total payable once before service begins, with no further required charge, installment or renewal.
SupportPrivate client-conversation text questions about the agreed coaching work; replies on the next Tuesday or Thursday after the day received, by 17:00 Europe/London.
MaterialsKeira's two original PDFs, Study Choices and Conversation Preparation, manually shared as client Documents when service starts.
Review and endingDelivery review after session two; either person can end, with GBP 200 refunded for every undelivered session under the proposed commercial policy.

The price is the final customer total for this illustration. Keira must confirm the correct tax and invoice treatment before release. The proposed first appointment is conditional on a lawful contracting timetable; if review or the required cancellation arrangements cannot support it, she must change the date rather than compress the process.

Write the selected operating clauses in full

Service and limits: “Keira will provide the five sessions and support described in this schedule. We will explore Robin's choices and preparation for returning to study. Robin makes their own decisions. Admission, funding or another person's response is not promised. We will review service delivery and usefulness after session two; Robin may raise a concern earlier.”

Support: “Send routine coaching questions in our private Coachful client conversation. Keira will give a substantive reply, or explain what clarification or session discussion is needed, by 17:00 Europe/London on the next Tuesday or Thursday after the day your message arrives. No support closures are planned during this service period. This is not continuous monitoring or an emergency service. Questions requiring healthcare, legal or other specialist advice are outside this coaching service.”

Price: “The package costs GBP 1,000 in total, paid once before the service begins. It does not renew. There are no scheduled installments. Additional sessions or a different service require a separate offer which Robin can decline.”

Session changes: “Request a change in the private conversation or by email to keira@example.org. Twenty-four hours means elapsed hours before the appointment's start. Keira will confirm a replacement time. For a later request, missed session or technical interruption, we will first check what happened and arrange a replacement where workable. Only completed sessions count as delivered under this package. If a replacement cannot be agreed, either person may use the ending process below.”

Provider cancellation and term end: “If Keira cannot deliver an appointment, Robin can choose an agreed replacement or a GBP 200 refund for that undelivered session. At 31 October, any undelivered sessions will be refunded at GBP 200 each unless Robin chooses a specific written extension with agreed replacement dates. Keira will not impose an extension or retain the unused amount merely because the original period ended.”

Materials: “Robin may download and retain the two named PDFs for personal reference after coaching ends. This permission does not include redistribution, resale, adaptation for commercial delivery or facilitating sessions for other people. Keira retains rights in her original materials; Robin retains rights in their original writing. Testimonial or other publicity permission is separate.”

Information: “This personal service includes no employer or sponsor report, recording, transcription or AI-generated session summary. Keira will explain records, authorized access, applicable confidentiality limits and handling in the accompanying reviewed privacy information before service. A proposed change to this arrangement will be discussed and appropriately reviewed before use.”

Ending and concerns: “Either person may end coaching by a message in the private conversation or email to keira@example.org. Keira will acknowledge an ending request or concern within two weekdays, Monday to Friday, excluding England bank holidays. For the commercial unused-session refund, she will confirm the completed-session count and return GBP 200 for each undelivered session within seven calendar days of the ending request. This promise does not limit any statutory right or remedy. Contacting Keira does not require Robin to waive another applicable route.”

These selected clauses deliberately choose a generous unused-session policy. They do not establish a universal fair fee formula. Keira must budget for that promise and obtain review of the complete arrangement, including any rights or deadlines that require a different response.

Let the prospective client expose a contradiction

Keira's first draft description still says “GBP 200 a month.” Robin asks: “Does that mean I can stop after one month and pay only GBP 200?” The package is actually a single GBP 1,000 purchase. The five-session refund allocation does not make it five monthly payments.

Keira replies: “My wording was misleading. The proposed payment is GBP 1,000 once. The GBP 200 amount is the unused-session refund calculation, not a monthly bill. I have removed the monthly wording from the offer summary, the price section and my introductory email. Please review the corrected proposal before deciding.”

Robin answers: “I understand the one-time total now. I want the five sessions, but I will decide whether to buy after the complete reviewed agreement is available. I also need the replacement policy if you cancel the last appointment.” Keira supplies the completed provider-cancellation clause above. Robin confirms that it answers that question. This is a completed clarity exchange, not a purchase or proof of legal approval.

Test the clauses together with actual outputs

Keira labels the next exercise a rehearsal using synthetic events. No real appointment is cancelled, money collected or refund processed. Each result must agree with the proposed clauses, schedule and configuration brief.

  1. Support timing: A synthetic question arrives Tuesday 7 September at 18:00. The next listed support day after that day is Thursday 9 September. Keira records a reply deadline of 17:00 that Thursday, Europe/London. “Message received” alone would not fulfill the substantive-response promise.
  2. Notice calculation: Robin's synthetic change request for 20 September at 15:00 arrives 19 September at 14:00. That is twenty-five elapsed hours before the call. Keira records timely notice and a mutually accepted replacement on 22 September at 15:00. A proposed replacement without Robin's acceptance would remain pending.
  3. Coach cancels the final call: The first four synthetic sessions are complete. Keira cannot deliver 25 October, and Robin declines an extension. The output is one undelivered session, GBP 200 due back and no imposed November appointment. The completed four account for GBP 800 of the GBP 1,000 package.
  4. Client ends after two calls: In a separate scenario, only two sessions are complete. Three are undelivered: 3 × GBP 200 = GBP 600 refund. GBP 400 remains for completed delivery. Keira records removal of future appointments and a refund task with the seven-calendar-day deadline. She does not record the money as returned until the actual payment record confirms it.
  5. Material retention: In that ending scenario, Robin retains previously downloaded copies for the stated personal use. Keira's test checks that ending portal sharing cannot recall those copies. She removes any contradictory “destroy every copy” wording from the closure checklist.

The scenarios are alternatives, not transactions to add together. Keira has not refunded GBP 800 or delivered six calls. The two-session exit and four-session provider-cancellation tests each start from their own GBP 1,000 purchase.

One test fails: the draft closure checklist originally marked “refund complete” when a staff member restored a booking allowance. Keira changes it to require a separate confirmed money record. She reruns the two-session scenario: three unused sessions, three allowance entries to reconcile, GBP 600 refund pending, then confirmed only in the synthetic payment evidence. The correction makes the service, entitlement and financial states distinct.

Prepare and release the reviewed workflow in Coachful

  1. Keep the proposal inactive during review. Open Manage > Your client experience > Agreements in Advanced mode, or Agreements through Settings in Simple mode. In Templates, prepare a new template with Save draft. Inactive drafts cannot be sent or newly selected in a program or funnel. Keira's working label “revision B” describes her internal editing record; inactive drafts do not receive native template version numbers.
  2. Align the actual Offer. Select the real fifty-minute session type and quantity five in What they get. Enter GBP 1,000 as a one-time price in Price & sharing. Explain the manual delivery of the two PDFs accurately. Benefit text alone does not grant a resource or set a credit-expiry date. The service end in this draft requires a checked closure process.
  3. Check release prerequisites. Keira sends the adviser the corrected proposal, selected clauses, all scenario outputs and the actual selling route. The release stays pending until the complete legal and privacy material, consumer information, contracting timetable and payment presentation are reviewed. The no-recording, no-transcription and no-AI-summary promise also requires checking the delivery setup and keeping those tools unused. No public link, signature invitation or paid checkout is released in this case.
  4. After approval, activate and verify the issued copy. Review & sign and Sign & activate apply when the template includes the coach signature. For a recipient-only agreement, turn off Include my signature and use Activate. Activation alone does not publish a link or send an invitation. Confirm the actual route and recipient before sending, then verify the signed copy and payment separately.
  5. Deliver and reconcile deliberately. Client Documents are private to the coach team until shared with that client. Share the two intended PDFs and verify that the account holder can open them. For ending, reconcile sessions, appointments, allowance, actual money and material access individually. Keep the issued agreement text with that client's record.

Each agreement copy stores its text, and a signed copy retains what was signed. Editing an active template creates a new immutable version. The Update unsigned copies option is on by default and can move eligible pending copies to that version; copies customized for one person are excluded. Review that choice before saving. For a signed client, use the appropriate reviewed amendment or new-signature process rather than assuming a template edit changes their accepted terms. The client onboarding steps explain the broader handoff, and Coachful's features show the tools around it.

Troubleshoot the mismatch, then repeat the relevant test

The client still says “monthly.” Search the offer, proposal email and agreement for conflicting payment language. Correct all affected records and return the full total before commitment. Do not treat a hidden total beside a misleading headline as a completed explanation.

The booking system removes a credit after a missed call. Compare that behavior with the reviewed commercial policy. Restore or reconcile the allowance where required and check whether a refund is separately due. A system default does not amend the agreement.

The service period ends before a provider replacement. Present the promised choice and obtain the client's actual decision. Record a specific extension only if chosen. A pending calendar suggestion is neither completed delivery nor permission to retain unused payment.

Someone requests a sponsor report. Check the actual information agreement and authority before sharing. A newly interested payer cannot be added to private records by assumption. Review the changed relationship and communicate the permitted audience explicitly.

Frequently asked questions

Can I copy these clauses into my final contract?

Use them to prepare a service brief and questions for qualified review. They are selected fictional operating clauses, not a complete contract, jurisdiction assessment or determination that a particular term is enforceable.

Does a signature cure unclear terms?

A signature records an act within a signing process. It does not remove misleading sales copy, missing required information, unfair terms or a mismatch between the agreement and service delivered.

Must unused sessions always be refunded at this rate?

The GBP 200 rate is a deliberate fictional commercial promise. Applicable rights and the actual arrangement need separate review. Do not present this example as a universal legal formula or substitute for reviewing cancellation rules.

Should I edit the template when an existing client requests a change?

First establish the proposed change and the copy status. Eligible pending unsigned copies can move to a new version under Update unsigned copies; individually customized copies are excluded. Signed copies keep their signed text. Preserve that record and use the appropriate reviewed amendment or new-signature route for a signed client.

What counts as a finished drafting exercise here?

The service choices, selected clauses, client clarification and scenario outputs are complete. Professional release, signature, purchase, delivery and real refunds remain pending. That distinction prevents a well-organized draft from being reported as an executed agreement.
