Coaching Retainer Agreement Template: Worked Draft
Nour
Founder, Coachful

A coaching retainer agreement template becomes useful when its recurring promises can be read, questioned and delivered. “Monthly support” leaves too much open: does the buyer receive two appointments, continuing access to a particular coach, or unlimited advice? A signature cannot resolve different answers to that question.
This guide provides eight drafting fields, a fully filled fictional commercial schedule and a practical consistency check. The schedule is an original preparation example for qualified legal review. It is not a complete legal contract or a finding that the proposed terms are enforceable. The example finishes with an actual revised draft and a recorded decision to withhold release.
Coachful is our #1 recommendation for organizing this workflow because its Offers and Agreements can hold the service configuration and reviewed signing documents. This is our editorial recommendation for the workflow explained here. It is not an independent market ranking, legal approval or a guarantee about client outcomes.
Understand what the retainer is buying
A retainer describes an ongoing commercial arrangement, but the label does not specify the service. Three arrangements can have the same monthly price and different obligations. A session allowance purchases a stated quantity of appointments. Reserved availability pays for capacity kept available under a defined arrangement. A broader advisory role may include preparation, document review or participation in decisions. Describe which arrangement you actually offer.
For example, two fifty-minute coaching sessions do not become an unlimited advisory service because an offer also mentions access to the coach. Conversely, a buyer paying for reserved availability may reasonably care whether suitable time remains available even when they do not use it. Define both the work and the availability rather than expecting the name to do that work.
Also distinguish a rolling monthly purchase from installments on a longer commitment. A six-month service paid in six parts still needs its complete commitment and ending rules explained. A rolling service needs a clear renewal process. Neither arrangement establishes a universal right to retain all payments when circumstances change.
Develop the workload and economic choices before drafting promises. Our retainer pricing guide helps connect sessions, preparation and support with a price. Here the focus is the resulting written record, the buyer's understanding and the evidence needed before release.
Complete eight fields before writing legal clauses
1. Parties, purpose and authority
Identify the legal supplier, purchaser, participant and any sponsor. They may be different people. A company representative authorizing expenditure does not automatically become the coaching participant or gain access to that person's conversations. Establish who can accept commercial changes and whose agreement is needed for the coaching relationship.
Write the purpose in observable terms without promising a result outside the coach's control. “Prepare and review delegation conversations” describes work. “Ensure promotion within three months” promises an employment decision the coach cannot make. State what the participant remains responsible for, including their own workplace decisions and obtaining necessary permission before sharing another person's material.
2. Service, booking and availability
List session count, duration, format, booking route and practical availability. Include preparation or review only when you can explain what is included. A resource title is more useful than “all premium materials,” especially when your library changes. Explain whether a sponsor review is additional to or part of the participant's allowance.
Test the calendar against the promise. Two sessions a month need usable appointments, not merely a booking link. Define the response when your availability fails, and distinguish it from the client declining suitable appointments. Include planned absence and a route for an access problem. Avoid claiming that a booking rule itself guarantees the delivery obligation will be met.
3. Fee, billing period and payment authority
Show currency, total applicable price, billing frequency, due dates and payment method. State the start of the service separately from the date someone receives an invoice or signs a document. Identify whether a tax amount is included, additional or not applicable to the reviewed situation. Do not guess tax status from the offer's currency.
A signed agreement and authority to collect recurring payments are separate records. Compare the full service price with the checkout or invoice information, not just the first charge. Document how a failed or disputed payment is handled without treating a processing event as proof that money has settled. The payment terms guide develops that financial lifecycle.
4. Unused sessions, cancellation and absence
State what happens when a participant does not book, changes an appointment, misses it or cannot attend. Then consider the coach canceling or being unable to provide suitable time. These are different situations. A single sentence saying all unused sessions disappear can conceal a provider failure.
If you propose rollover, give a quantity, endpoint, booking conditions and treatment on ending. Check that the actual system and calendar can deliver it. If you choose no ordinary rollover, explain the service period and distinguish remedies for your own missed obligations. Have the resulting policy reviewed for the parties and applicable rights; a product's expiry control is not a legal fairness assessment.
5. Between-session communication
Specify channel, purpose, submission limits, working days, time zone and reply window. “A reply by the end of the next working day” and “resolution within one day” are different promises. Decide how a question needing a session is identified, and how the client is told that it has been received.
Define permitted content with examples. A short question about an agreed practice is different from a sixty-page restructuring plan or attendance at an urgent board meeting. State the absence arrangement and avoid suggesting continuous monitoring. A client should be able to ask what is included without discovering an unexpected charge after sending the question.
6. Confidentiality, audiences and specialist boundaries
The current ICF Code of Ethics asks ICF professionals to establish the nature and arrangements of coaching before it begins, and to clarify information exchange and confidentiality limits. This is a professional ethical source with its own scope, not legislation applying identically to every coach.
Specify any sponsor report, its audience and how it is prepared. Identify necessary legal disclosure limits with qualified advice. Do not put unrestricted publication permission or a demand for a complete medical history into a routine retainer. Separate coaching from legal, medical, financial or employment advice that the engagement does not provide.
Check actual software audiences too. An unshared journal page and a submitted worksheet have different visibility; clients can explicitly share some journal pages. A private review note for the authorized coach team is not automatically a returned client comment. Explain the chosen route before collecting sensitive material.
7. Duration, renewal, change and ending
Specify the first service period, what renews, the ordinary ending route and the date rule. Avoid a broad power to change price or remove service while keeping the client bound to pay. Record what happens to appointments, resources and any account balance when the relationship ends. Contractual notice must be considered separately from rights that may apply regardless of that notice.
For UK consumer contracts, the CMA's fair-contract guidance, updated in July 2026, identifies risks in unexpected renewal, onerous cancellation routes, unrestricted variations and disproportionate cancellation charges. It addresses traders dealing with consumers. It does not certify a business-to-business example or supply a universal coaching notice period. Obtain advice on the actual buyer, sales route and jurisdiction, including any applicable distance-selling information and cancellation requirements.
8. Questions, complaints and document control
Give a reachable administrative contact, an acknowledgment arrangement and a way to pursue unresolved concerns. The route should work after portal access ends. Keep billing evidence separate from unnecessary disclosure of coaching content. A complaint process should not purport to make the coach the final authority on the client's legal rights.
Record the document identifier, date, status and relationship to other documents. “Latest terms on our website” can leave a buyer unsure what they accepted. Preserve the actual signing copy and the payment authorization that applied. Decide how a proposed future amendment will be discussed and documented rather than silently treating an edited template as a new agreement with existing clients.

Work through a complete fictional drafting case
All people, addresses and businesses below are fictional. Mara Chen, trading as Reedway Coaching, is preparing a retainer for Aster Planning Ltd. Its director, Elin Shah, will participate; Tomas Reed is the company's purchasing contact. This is a business purchase for Elin's management work, not an assertion that all personally paid coaching is a business transaction.
On 6 September 2032, Mara sets four release gates: complete commercial choices; participant and purchaser understanding; agreement and Offer consistency; qualified legal and relevant tax review. The target start is 1 October, but that date is conditional. Nothing is yet signed, charged or booked.
Her first preparation sheet includes two sessions and a monthly fee, but says “reasonable messages,” offers one rollover session and mentions a thirty-day month-end ending rule. Elin uses her agreed twenty-minute reading-and-reply allocation to question those three terms. Her actual response is: “I need to know what messages include. Please remove the rollover rather than leave a growing backlog. I also want a simple way to stop the following month's renewal.”
Tomas separately confirms he can approve the purchase for Aster, but refuses a proposed report of Elin's session themes. “We need attendance and the commercial end date only. Please do not send us coaching content.” Elin agrees to that limited administrative report. Mara does not infer that company funding permits a wider report.
Mara revises the commercial schedule on 7 September. Elin and Tomas review the revision in their remaining ten minutes each. Their replies accept these inputs for legal drafting, including the restricted reporting and ordinary renewal choice. They explicitly do not authorize a charge or agree that the legal document is ready to sign.
Read the completed commercial schedule
Draft RWC-ASTER-02, 7 September 2032. Status: commercial inputs agreed for review; not for signature. The following is the completed fictional output, rather than a set of blanks described as completed terms.
| Field | Completed drafting choice |
|---|---|
| People and notices | Mara Chen trading as Reedway Coaching, 18 Example Lane, Bristol, BS1 1AA; Aster Planning Ltd, 42 Sample Court, Bristol, BS1 1AB. Participant Elin Shah; purchasing contact Tomas Reed. All identities and addresses are fictional. Administrative email: admin@reedway.example. |
| Purpose and role | Individual coaching to prepare and review Elin's delegation conversations. Mara provides reflection and rehearsal within her competence, not legal advice, HR decisions or management of Aster's staff. Elin retains her workplace decisions and secures any necessary permissions. |
| Period and renewal | Proposed first period 1–31 October 2032, then monthly renewal. No multi-month minimum is proposed. Legal release and fresh buyer authorization must precede commencement; otherwise Mara proposes a new start for agreement. |
| Sessions and booking | Two fifty-minute private online sessions each calendar month. Mara will offer at least four suitable appointment choices between 09:00 and 16:00 Europe/London, Tuesday to Thursday, for Elin to select two. No sponsor meeting is included. Appointment choices will be confirmed before purchase. |
| Fee and collection | Proposed complete monthly charge GBP 800, paid in advance on the first day of the service month. The case assumes Mara is not VAT registered; an adviser must confirm that treatment before release. No collection is authorized by this preparation sheet. |
| Appointment changes and unused time | No ordinary month-to-month rollover. Elin may change an appointment with at least forty-eight elapsed hours' notice, subject to another suitable appointment in the same month. If Mara cancels or cannot supply the promised choices, Mara offers a replacement Elin accepts or a GBP 200 refund for that undelivered session. For a later participant cancellation or nonattendance, no additional fee is proposed: a same-month replacement is offered if suitable time remains; otherwise that appointment counts within the allowance. All these proposed treatments require legal review before issue. |
| Messages and materials | Private client conversation for up to two text questions weekly, each at most 200 words, about an agreed coaching practice. Reply by 17:00 Europe/London on the next Tuesday, Wednesday or Thursday working day. No attachments or urgent coverage. The included resource is Mara's original Delegation Preparation worksheet; no wider library access is promised. |
| Planned absence | No planned absence in October. Before proposing a later month with leave, Mara must explain its effect on appointments and replies and obtain a workable arrangement before that month's renewal. No substitute coach is appointed by this draft. |
| Information exchange | Elin's conversations and worksheet are available only to Elin and Mara through their authorized routes, subject to reviewed legal disclosure limits. Tomas receives only attendance dates and the commercial end date by administrative email, with Elin included. No session themes, journal pages, assessment scores or recording is included in that report. |
| Ordinary ending | Proposed buyer choice: email admin@reedway.example before 17:00 Europe/London on the final calendar day of the current month to stop the next month's renewal. Aster's and Elin's notices are both accepted for this purpose. Mara acknowledges by the next Tuesday–Thursday working day. Other termination grounds, refunds and mandatory rights remain legal-review items. |
| Resource access and closure | At ending, no new sessions or messages are supplied for a later unpaid month. Elin may retain an already supplied worksheet for her own reference, with no redistribution permission. Necessary accounting and legal records follow the reviewed retention notice. Aster can still use the administrative email for account questions. |
| Changes and concerns | No additional work or higher price without a separate written proposal accepted by the authorized buyer and, where relevant, Elin. Mara acknowledges a service concern at the administrative email within two Tuesday–Thursday working days and gives a proposed response date. Legal framework, independent dispute options and liability terms await qualified drafting. |
The GBP 200 proposed remedy is a specific commercial input, not a claim that the GBP 800 retainer consists of four sessions or that every possible legal remedy is capped at GBP 200. The remainder also funds preparation, support and availability. The adviser must inspect this allocation and the exceptional-cancellation treatment, rather than assume a stated refund resolves every issue.
The schedule deliberately identifies unfinished legal work. Calling this a complete commercial schedule means the service choices and unresolved release questions are visible. It does not mean that a disclaimer can turn incomplete legal terms into a ready contract.
Test the draft before any signature or payment
Mara spends twenty minutes running fictional date and scope examples. Under the proposed ordinary ending choice, a notice received at 16:00 Europe/London on 31 October stops the November renewal. A notice at 10:00 on 1 November misses that particular ordinary deadline. The adviser still needs to consider applicable rights and fairness; this is a reading test of the proposed wording, not a decision about a real dispute.
A second test asks whether a 300-word attachment review is included. The answer is no: the draft permits bounded text questions without attachments. Mara must discuss a separate proposal before doing chargeable extra work. A third asks what Tomas receives after a session. The answer is an attendance date through the named administrative route, not Elin's explanation of a difficult colleague.
The consistency check finds an actual preparation error. Mara's saved Offer draft still says three sessions, inherited from an earlier experiment. She changes it to two of the intended fifty-minute session type, checks the GBP 800 monthly draft price and removes an unintended wider resource inclusion. The original Delegation Preparation worksheet remains the sole named resource. She saves and reopens the draft to confirm those corrections.
She records the gate result: commercial choices complete; participant and buyer understanding confirmed for drafting; checked Offer fields now consistent; legal and tax release still pending. She therefore withholds activation, publishing, invitations and payment. The corrected configuration does not establish that every cancellation, access or billing behavior has been tested. Those release checks remain on her list.

Prepare the reviewed document in Coachful
- Keep the draft separate from a signing invitation. In Agreements, open Templates and save the preparation document with Save draft. Inactive drafts cannot be sent or newly selected for a program or funnel. In Simple navigation, Agreements is available through Settings; the Advanced route is Manage, Your client experience, Agreements.
- Compare the actual Offer. Inspect What they get, the selected session type and quantity, resources, private support and the price and billing settings. A template can prefill session-access defaults, including a type; it is not proof that this buyer's promised inclusions are correct. Start from scratch or inspect and change every relevant default.
- Obtain and record legal release. Resolve the identified rights, remedies, identity, tax and jurisdiction questions with appropriate professionals. Confirm the participant's and purchaser's actual arrangements and usable appointment choices. Mara has not completed this step in the case.
- Activate only the reviewed document when ready. With Include my signature enabled, the coach reviews and signs the template before Sign & activate. A recipient-only policy uses Activate instead. Activation itself does not publish an Offer, collect payment or send an invitation. Send the intended agreement copy through the appropriate separate route.
- Handle later revisions deliberately. Signed copies retain their signed text. Eligible pending unsigned copies can move to a new version when Update unsigned copies is selected; customized copies are excluded. Review the save choices and confirmation. For an existing signed standalone relationship, discuss the amendment and send the appropriate new document rather than assuming template editing obtains fresh agreement.
Explore Coachful's features for the supporting administration. Software records can help show what happened; they do not decide whether a proposed contract is suitable or every legal formality has been met.
Account for the preparation and troubleshoot the weak point
The fictional preparation takes Mara 155 active minutes: 60 drafting, 20 reading and replying to the first feedback, 25 revising, 20 testing, 20 correcting and reopening the Offer, and 10 reading Elin's and Tomas's existing 7 September revision replies and sending the final held-release status. No later reading or reply from either recipient is claimed. Elin uses 30 minutes and Tomas 20 across their recorded reads and replies. Total preparation is 205 person-minutes. Their respective caps are 180, 30 and 20, leaving 25 minutes for Mara and none for the others.
This account excludes future legal or tax advice, future release testing and service delivery. The adviser has not supplied free work offstage. No money has been collected; the proposed GBP 800 is neither revenue earned nor a paid invoice. The useful outcome is a corrected, understood draft with a real blocker, not a fictional successful launch.
If a client reads a term differently, ask for their actual interpretation before defending it. If your calendar cannot support the promise, revise the service before acceptance. If the Offer and agreement disagree, stop release and reconcile them. If legal review changes the price or commitment, return the changed proposal to the appropriate people rather than treating their earlier drafting acknowledgment as consent.
Frequently asked questions
Can I use this as my final coaching contract?
No. Use the fields and original schedule to prepare your commercial choices and review questions. Qualified advice must address your actual parties, jurisdiction, service, rights and signing process before release.
Does a monthly payment mean the client can end monthly?
Not by itself. Monthly installments and monthly renewal are different arrangements. Explain the total commitment and ending process, and assess the applicable legal rights separately.
Should unused sessions always expire?
No universal policy follows from the retainer label. Decide a deliverable arrangement and inspect client absence, provider failure, ending and legal remedies separately. Verify any software behavior before promising it.
Does signing authorize recurring collection?
Do not assume so. Check the actual payment authorization and applicable requirements as well as the signed service document. Keep signature, charge, settlement, service and access states distinct.
What if an employer pays?
Identify buyer, participant and authorized contacts. Agree what information, if any, the sponsor receives. Paying does not justify automatically sending private coaching content.
Will editing my template update every client agreement?
No. Signed text stays unchanged. Eligible pending unsigned copies can refresh under the selected version option, while customized copies are excluded. Inspect the actual copies and arrange any required new acceptance.
