How to Structure a Boardroom Coaching Advisory Offer

A boardroom coaching advisory offer is a defined service that helps a board examine how it works, prepare its chair and improve collective discussion. Structure it around three agreed components: a board performance review, individual chair mentoring and facilitated board conversations. Specify who commissions each component, who receives its outputs and which decisions remain with directors.

The strongest proposal describes a real governance problem. “Improve board effectiveness” becomes useful when it means earlier papers, clearer challenge of investment assumptions or better follow-through on succession actions. These are matters a board can investigate and review without promising a particular share price or investment outcome.

Distinguish board advisory from executive coaching

QuestionIndividual executive coachingBoardroom advisory
Primary focusOne leader's development and choicesHow a governing body carries out an agreed part of its work
Working relationshipCoach and individual, with any sponsor agreementCommissioning organisation, board representatives and participating directors
Typical outputClient-owned development actionsAgreed findings, facilitated discussion or a process recommendation
Information boundaryPrivate coaching and separately agreed sponsor reportingDefined interview confidentiality, board reporting and official records

A chair may buy both services, but the agreements need to explain how the roles interact. An adviser who has coached the chair privately may have a conflict when reviewing the chair's performance. Decide whether an independent reviewer should handle that work before collecting information.

The Financial Reporting Council's UK Corporate Governance Code provides one context for board reviews. Its relevant listed-company provisions call for annual performance review and externally facilitated reviews at least every three years for FTSE 350 companies. This is a specific comply-or-explain framework, rather than a requirement for every board worldwide. Check the organisation's applicable framework with its governance team.

Build three service components

1. A board performance review

Agree the review questions with the authorised commissioning body. Examples include: Do papers identify the decision requested? How is dissent heard? Does the board revisit agreed actions? What skills will the next strategic period require?

Use a proportionate combination of document review, interviews and observation where authorised. Eight 30-minute director interviews require four interview hours before preparation, analysis or reporting. Decide whether committee chairs, executives or other stakeholders need separate interviews and price that additional work explicitly.

Give interviewees an information notice explaining the purpose, recipients, attribution rules, retention arrangements and limits on confidentiality. With a small board, an unnamed comment can still identify its author. Explain that risk instead of promising anonymity.

Produce a short findings paper that separates observations, interpretations and recommendations. For example: “Three of four sampled decision papers arrived fewer than two days before meetings” is evidence. “Directors lack commitment” is an interpretation requiring much more support. Invite factual corrections, then let the board agree priorities and owners.

FRC guidance treats board review as bespoke work and encourages meaningful contact beyond a questionnaire alone. A simple questionnaire can help organise discussion; it does not become a validated diagnostic because it uses numerical ratings.

2. Chair and committee-chair mentoring

Choose a named participant, purpose and cadence. A realistic starting scope might be one 45-minute chair conversation each month, with preparation included. Twice-monthly support means 24 meetings annually; fortnightly support usually creates a different annual count. Write the actual allowance.

A chair might rehearse inviting challenge before stating a preference, handling a dominant contributor or separating a management update from a decision. End with one behaviour to try and one way to review it. Keep private mentoring notes separate from board review findings unless disclosure has been agreed or is otherwise required.

Committee-chair mentoring is another service allocation, rather than free additional access for every chair. Confirm the committee's remit and the adviser's relevant experience before including it.

3. Collective facilitation

Name the meetings included, their length and their purpose. Four 90-minute facilitated discussions could address strategy choices, succession processes, board-management interfaces and review follow-through. An executive session without management requires clear authority and agreed attendance, just as any other board activity does.

The facilitator manages participation and the agreed process. The chair manages the meeting's governance responsibilities, and the board retains its decisions. A facilitation note should identify agreed actions and unresolved questions without pretending to replace the company secretary's official minutes.

Turn the offer into a mandate card

Here is an illustrative starting brief for a fictional eight-director company. Adapt it with the organisation's authorised representatives and advisers.

FieldFilled example
Commissioning authorityBoard-approved engagement, administered by the company secretary
PurposeImprove investment discussions and follow-through before the next annual review
ServicesOne review, twelve chair mentoring meetings and four facilitated board discussions
Review materialEight director interviews and the six most recent agreed board packs, subject to access approval
Board outputsFindings paper, agreed action register and quarterly progress discussion
Private outputsChair's own mentoring actions, with no automatic distribution to the board
AuthorityAdviser recommends processes; directors retain votes, appointments and oversight
AccessNamed participants through specified channels, within stated staffed hours
ChangesAdditional interviews, committees or investigations require a written scope change
Review pointMonth three and the final quarter, with a documented renewal decision

This card helps procurement see what is being bought. The agreement adds fees, termination, data handling, liability, intellectual property and other terms requiring appropriate legal review. Use the corporate advisory retainer agreement guide to develop that next layer.

Price three kinds of work clearly

An annual retainer can reserve a defined programme of recurring work. A project fee can cover an additional offsite or review. A stated time allowance can cover limited additional requests, with approval required before exceeding it. Choose which model applies to each deliverable.

For a fictional capacity estimate, allow eight hours for review preparation and interviews, six for analysis and reporting, nine for twelve chair meetings, six for four facilitated discussions, twelve for meeting preparation and follow-through, and four for administration. That is 45 hours annually.

At an illustrative internal planning rate of $250 per hour, delivery labour is $11,250. Adding $2,000 of expected direct costs gives $13,250 before other overhead, risk and profit. These are example assumptions, not market prices. An actual fee must reflect competence, complexity, procurement obligations and the work you are reserving.

If the board requests an additional full-day offsite, estimate design, interviews, travel, delivery and documentation separately. A monthly payment schedule for an annual commitment should also state what happens if either party ends the engagement early. A payment schedule does not answer the termination question by itself.

Establish confidentiality, role clarity and information controls

First, agree confidentiality and disclosure rules. Identify recipients of interview themes, individual reports and official records. Coordinate with the company secretary and counsel on market-sensitive information, insider lists and trading restrictions where applicable. A coaching confidentiality promise does not itself create legal professional privilege.

Second, define the professional role. UK company law, for example, places independent-judgment and care duties on directors. Hiring an adviser does not transfer those duties. Have counsel review the actual arrangement and conduct rather than assuming that an “adviser only” label settles every legal question.

Third, agree practical controls: approved systems, named access, download rules, meeting recording, retention and deletion. Use the organisation's approved board portal for board material when required. Decide whether a coaching platform should hold only limited scheduling and development information.

The ICF Code of Ethics supports clear agreements about roles, confidentiality and information sharing in coaching relationships. Corporate governance, employment and legal obligations may add other requirements.

Facilitate difficult debate with a visible process

Use three habits: prepare participants consistently, structure the discussion and summarise the actual disagreement.

In a fictional capital-allocation discussion, the chair says, “We keep circling whether to acquire or build internally.” The adviser asks, “What decision is required today, and what information would make either option unacceptable?”

One director questions demand assumptions; another is concerned about integration capacity. The adviser records these as different questions rather than describing them as personal resistance. Each option's sponsor supplies evidence, and the board identifies what is still missing.

A 90-minute discussion could allocate ten minutes to authority and decision criteria, fifteen to shared facts, twenty-five to options, twenty to challenge, fifteen to the board's decision or information request, and five to owners and review dates. The total is 90 minutes.

Brief pre-meeting conversations can surface agenda concerns, provided participants understand their purpose and reporting rules. Offer consistent access rather than creating a hidden lobbying channel. If an allegation arises, follow the agreed escalation process instead of turning a facilitation interview into an investigation.

Support committees, succession and transitions

Committee work can include clarifying agendas against the committee's existing remit, helping the remuneration committee frame questions for qualified compensation advisers, and facilitating a skills discussion for nominations. The adviser should bring relevant expertise and identify where specialist input is needed. A self-reported skills matrix is a conversation aid, not proof of competence.

Succession support should distinguish unexpected departure planning, orderly replacement and long-term capability needs. FRC guidance uses these different horizons. The board and its authorised committees own appointments and decisions.

For a new CEO's first 100 days, an original planning example has four periods: days one to thirty clarify expectations and listening priorities; days thirty-one to sixty review early observations; days sixty-one to ninety test working arrangements; days ninety-one to one hundred agree the next review. Use actual milestones rather than treating the timetable as a guaranteed transformation formula.

A founder becoming chair needs a further boundary conversation: which decisions now belong to the CEO, how requests reach management and how concerns go through the board. Rehearse a specific exchange: “I have a concern about this investment. I will ask for the agreed board information rather than instruct the operations team directly.”

Define crisis support and offsite work separately

For urgent matters, publish a staffed contact route and response expectation you can actually meet. A request involving suspected misconduct, litigation or immediate safety goes to the organisation's designated legal, investigative or emergency channel. The adviser can support meeting preparation within competence; counsel and authorised specialists determine their own work.

An offsite scope needs four elements: preparation interviews, a written agenda, defined facilitation and an agreed output. For example, a strategy day might conclude with three choices for further board consideration and a management information request. Confirm whether any formal decision can be taken there and who produces official minutes.

Set up delivery and review renewal

In Coachful, use the actual included benefits when configuring an Offer, and arrange the agreed mentoring sessions and resources. A benefit description should match the programmes, allowances and access actually configured. Signing an agreement, paying, creating an account and receiving access are separate states to verify.

Use a form for a non-sensitive preparation question when appropriate. Keep board records in the approved system, and agree the audience before sharing a recap. The chair's private coaching material and a board-facing progress report serve different purposes.

At review, examine whether papers arrive on the agreed timetable, whether decisions have clear owners and whether actions are revisited. Ask directors which process changes helped and what remains difficult. These observations inform renewal without attributing company financial performance to the adviser alone. For the recurring scope, see the board advisory retainer guide.

Frequently asked questions

What qualifications should the adviser have?

Relevant governance and facilitation experience matter alongside coaching competence. Check the organisation's requirements, references, professional obligations, conflicts and insurance. A coaching credential alone does not establish expertise in every board topic.

Who buys the service?

The authorised buyer may be the board, chair or another approved representative. Confirm contracting authority and who commissions any review of the chair. Payment authority and permission to receive private information are separate questions.

Can a questionnaire replace a board review?

It can be one input. A useful review also tests what the answers mean in practice, with suitable interviews, observation or document evidence. Agree the method and its limits before starting.

Should billing be annual or monthly?

Either can work with a clearly defined service period, payment timetable and termination terms. Show reserved work, additional projects and expenses separately so procurement can compare scope.

Can the same adviser coach the CEO?

Potentially, after a careful conflict and information-sharing review. If private CEO work could compromise an independent board review, separate practitioners or a narrower mandate may be more suitable.
